Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Come Out and Play mobile application, website, and related services (collectively, the “Service”).

The Service is operated by Overhead Innovations, a Virginia limited liability company (“Come Out and Play,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use the Service.

By creating an account, you represent that:

  • you are at least 18 years old;
  • the information you provide is accurate and current;
  • you are legally permitted to use the Service; and
  • your use of the Service will comply with these Terms and applicable law.

We may suspend or terminate an account if we reasonably believe the user is under 18 or has provided false eligibility information.

2. Purpose of the Service

Come Out and Play helps adults coordinate recreational and social activities with approved connections.

Users may:

  • create activities;
  • invite approved connections;
  • accept or decline invitations;
  • indicate that they are going;
  • permit guests when enabled by the activity creator;
  • share meeting details with accepted participants; and
  • report or block other users.

Come Out and Play provides coordination tools only. We do not organize, supervise, inspect, approve, verify, lead, or guarantee any user, guest, route, location, equipment, qualification, condition, or activity.

3. Accounts and Security

You are responsible for maintaining the security of your account and for activity occurring through it.

You agree to:

  • provide accurate account information;
  • protect magic links, connection codes, QR codes, and other access credentials;
  • notify us promptly of suspected unauthorized access;
  • avoid sharing credentials in a way that could compromise your account; and
  • use only your own account.

You may not create an account for another person without authorization or use another person’s account.

4. Connections and Invitations

Connections are established through mutually approved methods such as QR codes or connection codes.

A connection does not mean that Come Out and Play has:

  • verified either person’s identity;
  • performed a background check;
  • confirmed the accuracy of profile information;
  • evaluated trustworthiness, qualifications, or intentions; or
  • endorsed the relationship.

You are responsible for deciding whom to connect with, invite, or join.

Connection codes may be reset. Resetting a code does not automatically disconnect previously approved connections.

5. Activities and Guests

Only registered users may create activities.

Activity creators are responsible for making reasonable efforts to provide accurate and useful information, including:

  • the activity type;
  • date and time;
  • anticipated location;
  • expected pace, difficulty, duration, and physical demands;
  • equipment or preparation requirements;
  • known hazards or restrictions;
  • participant limits; and
  • whether guests are allowed.

Where the guest feature is enabled, a participant may bring a guest only with the guest’s permission and subject to the creator’s rules.

The participant bringing the guest is responsible for coordinating with that guest. A guest does not automatically become connected to other participants.

You may not use a guest, alternate account, connection code, or another person to evade a block, exclusion, suspension, or other safety control.

6. Activity Safety

Outdoor and recreational activities may involve serious risks, including injury, illness, property damage, getting lost, exposure to weather, encounters with wildlife, transportation risks, and death.

You are solely responsible for evaluating:

  • your health, fitness, skill, and experience;
  • weather and environmental conditions;
  • routes, terrain, access restrictions, and closures;
  • equipment and supplies;
  • transportation;
  • the conduct and suitability of other participants;
  • whether an activity is appropriate for you; and
  • whether professional instruction, permits, insurance, or emergency planning are needed.

You should take reasonable precautions, including meeting in appropriate places, telling someone your plans, carrying necessary safety equipment, and following applicable laws and land-use rules.

Activities are created by users and are not organized, supervised, or verified by Come Out and Play.

7. Community Standards and Prohibited Conduct

Come Out and Play is intended to help adults coordinate activities safely and respectfully.

You may not use the Service to create, share, promote, arrange, or participate in content or conduct that violates these standards.

7.1 Threats, Harassment, and Intimidation

You may not threaten, stalk, bully, harass, intimidate, shame, pressure, or repeatedly contact another person in an unwanted manner.

This includes:

  • threatening physical harm;
  • encouraging others to target a person;
  • continuing unwanted contact;
  • repeatedly inviting someone after they decline;
  • attempting contact after being blocked; or
  • using another person to contact someone who has blocked you.

7.2 Hate and Discrimination

You may not attack, degrade, exclude, threaten, or promote hatred or unlawful discrimination against a person or group based on race, color, ethnicity, national origin, religion, sex, sexual orientation, gender identity, disability, medical condition, age, veteran status, or another status protected by law.

Activity creators may establish legitimate requirements related to safety or participation, such as skill level, equipment, pace, physical demands, or accessibility. Such requirements may not be used as a pretext for unlawful discrimination or harassment.

7.3 Sexual Solicitation and Exploitation

You may not use the Service to:

  • solicit sexual activity;
  • promote sexual services;
  • share sexually explicit material;
  • engage in sexual harassment;
  • arrange activities primarily for sexual purposes;
  • facilitate trafficking or exploitation; or
  • engage in any sexual conduct involving a person under 18.

7.4 Impersonation and Misrepresentation

You may not:

  • impersonate another person or organization;
  • use false or misleading identity information;
  • falsely claim to represent another person or organization;
  • misrepresent your intentions, experience, qualifications, or authority;
  • falsely claim to be a guide, instructor, medical professional, public official, or employee of Come Out and Play; or
  • misrepresent the nature or purpose of an activity.

7.5 Unlawful Activities

You may not use the Service to plan, promote, facilitate, encourage, or participate in unlawful conduct.

This includes:

  • trespassing;
  • theft;
  • vandalism;
  • violence;
  • unlawful drug activity;
  • unlawful weapon use;
  • evasion of permits, closures, or land-use restrictions; or
  • conduct that violates another person’s legal rights.

7.6 Private Information

You may not share another person’s private, confidential, or sensitive information without permission.

This includes:

  • home addresses;
  • phone numbers;
  • email addresses;
  • precise locations;
  • financial information;
  • identification documents;
  • medical information;
  • private communications;
  • access credentials; or
  • information that could reasonably expose someone to harm, fraud, or unwanted contact.

You may not identify or add another person as a guest without permission.

7.7 Evading Blocks or Safety Controls

You may not use:

  • a guest;
  • another account;
  • another user;
  • an invitation;
  • a QR code;
  • a connection code; or
  • any other method

to evade a block, activity exclusion, suspension, account restriction, or safety control.

You may not knowingly bring or invite someone who has been blocked or excluded when doing so would defeat another user’s privacy or safety choice.

7.8 Unsafe or Deceptive Activity Information

You may not create or promote an activity using information you know, or reasonably should know, is materially false, deceptive, incomplete, or unsafe.

You may not:

  • conceal a significant known danger;
  • misrepresent an activity’s difficulty or purpose;
  • provide a deliberately false meeting location;
  • falsely state that an activity is supervised or verified;
  • disguise a commercial, sexual, illegal, or unrelated purpose as a recreational activity; or
  • intentionally provide unsafe directions or instructions.

8. User Content

“User Content” includes activity titles, descriptions, locations, attendance information, guest counts, reports, and other information submitted through the Service.

You retain ownership of your User Content.

You grant Come Out and Play a nonexclusive, worldwide, royalty-free license to host, store, reproduce, process, display, transmit, and use your User Content only as reasonably necessary to:

  • operate and improve the Service;
  • display activities to authorized users;
  • deliver invitations and notifications;
  • enforce these Terms;
  • investigate reports;
  • protect users and the Service; and
  • comply with legal obligations.

You represent that you have the right to submit your User Content and that it does not violate these Terms or another person’s rights.

9. Reporting, Blocking, and Enforcement

Users may report accounts, activities, or conduct that may violate these Terms.

Users may also block other users or limit their participation in particular activities.

We may investigate reported or suspected violations and take action we reasonably consider appropriate, including:

  • removing or restricting content;
  • canceling an activity;
  • limiting activity visibility;
  • excluding a user from an activity;
  • suspending or terminating an account;
  • preserving relevant records for safety, fraud prevention, disputes, or legal compliance; and
  • reporting conduct to law enforcement or another appropriate authority when required by law or reasonably necessary to address a credible safety concern.

We are not obligated to mediate disputes and do not guarantee that we will identify or prevent every violation.

10. No In-App Messaging

The Service does not provide general in-app messaging.

Where supported, the app may allow a user to open the device’s native text messaging or sharing application. Such communications occur outside the Service.

Come Out and Play does not receive, store, or control the content of messages sent through a user’s device messaging application unless expressly disclosed otherwise.

Carrier charges and the terms of the external messaging service may apply.

11. Location Information

The Service may use a ZIP code or user-selected base area to identify activities within a broad geographic radius.

We do not collect or store continuous or precise device location unless we clearly disclose and request permission for a new feature that requires it.

Exact meeting details may be visible only to users who have accepted or joined an activity.

You agree not to use activity locations to stalk, harass, monitor, or endanger another person.

12. Support

Support may be available through:

  • an in-app support form;
  • a web support form; or
  • another contact method listed in the app or on our website.

13. Account Deletion

You may initiate permanent account deletion through the app or through our public account-deletion page.

Deletion may require confirmation through a magic link or similar security process.

Before deletion, you may be required to resolve or cancel active activities you created. Alternatively, the Service may automatically cancel those activities and notify affected participants.

When deletion is confirmed, we may:

  • cancel activities you created;
  • withdraw you from activities you joined;
  • remove connections;
  • invalidate unused connection codes;
  • delete or anonymize associated account data; and
  • retain limited information when reasonably necessary for legal compliance, fraud prevention, security, dispute resolution, or enforcement of these Terms.

14. Intellectual Property

The Service, including its software, design, logos, trademarks, text, and other content provided by us, is owned by or licensed to Come Out and Play and is protected by intellectual property laws.

Except as permitted by law, you may not:

  • copy, modify, or distribute the Service;
  • reverse engineer or attempt to extract source code;
  • use our trademarks without permission;
  • interfere with the Service; or
  • use automated systems to scrape, harvest, or access the Service without authorization.

15. Third-Party Services

The Service may rely on third-party providers for hosting, authentication, email, push notifications, crash reporting, analytics, maps, ZIP-code geocoding, and support.

Your use of third-party services may also be subject to their terms and privacy practices.

We are not responsible for third-party services outside our reasonable control.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL ALWAYS BE AVAILABLE, SECURE, OR ERROR-FREE;
  • USER INFORMATION WILL BE ACCURATE;
  • AN ACTIVITY WILL OCCUR AS DESCRIBED;
  • A USER OR GUEST IS SAFE, QUALIFIED, OR TRUSTWORTHY;
  • A LOCATION, ROUTE, OR CONDITION IS SAFE; OR
  • THE SERVICE WILL PREVENT INJURY, LOSS, HARASSMENT, FRAUD, OR MISCONDUCT.

YOU USE THE SERVICE AND PARTICIPATE IN ACTIVITIES AT YOUR OWN RISK.

Some jurisdictions do not allow certain disclaimers, so some of these provisions may not apply to you.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COME OUT AND PLAY AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID US DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • ONE HUNDRED U.S. DOLLARS ($100).

Nothing in these Terms limits liability that cannot legally be limited.

18. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Come Out and Play and its owners, officers, employees, contractors, and affiliates from claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from:

  • your use of the Service;
  • your User Content;
  • an activity you create, organize, join, or attend;
  • a guest you invite or bring;
  • your violation of these Terms;
  • your violation of law; or
  • your violation of another person’s rights.

This obligation does not apply to the extent a claim is caused by our negligence, willful misconduct, or violation of law where such exclusion is required.

19. Suspension and Termination

You may stop using the Service at any time.

We may suspend or terminate access if we reasonably believe that:

  • you violated these Terms;
  • your conduct creates a safety, legal, security, or operational risk;
  • your account was used fraudulently;
  • you are under 18;
  • you attempted to evade a block or suspension; or
  • suspension or termination is required by law.

Provisions that by their nature should survive termination will continue to apply, including intellectual property, disclaimers, limitations of liability, indemnification, and dispute provisions.

20. Changes to the Service or Terms

We may modify the Service or these Terms from time to time.

If a change is material, we will provide notice through the app, email, website, or another reasonable method.

Your continued use after the effective date of updated Terms constitutes acceptance where permitted by law.

21. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Service will be brought in the state or federal courts located in [County], Virginia, unless applicable consumer law requires otherwise.

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

22. General Terms

If any provision is found unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision is not a waiver.

You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets.

These Terms, together with the Privacy Policy and any additional terms presented within the Service, form the entire agreement between you and us regarding the Service.
